CSX Transp., Inc. v. General Mills, Inc. (Eleventh Circuit)

The district court dismissed our client’s complaint for indemnity, interpreting the underlying agreement to permit indemnification only if the indemnitor was at least partially at fault and finding that earlier litigation precluded our client from arguing the indemnitor’s fault.  Two issues are presented by the appeal: whether the district court erred by applying federal preclusion law to an earlier judgment that was entered by a federal court sitting in diversity jurisdiction, and whether the court properly interpreted the underlying agreement.
